For more than two decades I have helped public and private companies through the moments that matter most: going public, merging, raising capital, and standing up to regulatory scrutiny. More than ten of those years were spent at a Big Four firm, where the standard was simple and unforgiving.

Today, as a partner at UHY LLP and managing director at UHY Advisors, I lead PCAOB and AICPA audits for SEC-listed and pre-IPO companies. My work covers complex debt and equity arrangements, capital market transactions, and the technical accounting questions that decide whether a filing holds up.

When should we start IPO readiness work? +

Earlier than most companies think. Building audit-ready financials, the right controls, and an experienced team takes time, and the gaps tend to surface under the SEC's timeline rather than yours. Starting 12 to 24 months out gives you room to fix things before they become filing problems.

How is a PCAOB audit different from a private-company audit? +

A PCAOB audit carries heavier documentation, independence, and internal-control expectations, and the work is subject to PCAOB inspection. Companies coming from a private-company audit are often surprised by the depth of evidence required, which is exactly where early preparation pays off.

Do you work with SPACs and deSPAC transactions? +

Yes. I work across pre-IPO, traditional IPOs, SPACs, and deSPAC business combinations, including the technical accounting and SEC reporting that each path demands.
